End User License Agreement (EULA)

Licence Grant

Chipps grants you a personal, non-exclusive, non-transferable, revocable licence to install and use Chipps on Windows devices you own or control, for your personal or internal business use, subject to these terms and to any plan limits associated with your licence key.

Age Requirement

Chipps is intended solely for users who are eighteen (18) years of age or older (or over the age of majority in your country of residence, if it is higher than 18). By installing or using Chipps, you represent and warrant that you meet this requirement. Use of Chipps by anyone under this age is a violation of this agreement.

Restrictions

You agree not to: (a) copy, modify, reverse-engineer, decompile, or disassemble Chipps except where applicable law expressly permits; (b) sublicense, rent, lease, or resell Chipps; (c) use Chipps to violate any law or the rights of others; (d) circumvent any licensing, security, or technical limitation in Chipps.

Restrictions and Regional Limitations

We do not conduct business, sell, or licence Chipps in the following countries and territories:

Prohibited persons. Certain entities and individuals are prohibited from using Chipps pursuant to trade and economic sanctions and export control laws imposed by the United States, the United Kingdom, or other governments. These prohibit companies and their subsidiaries from engaging in all or certain commercial activities with certain sanctioned countries (“Sanctioned Country”) and certain individuals, organizations, entities, or domain names (“Sanctioned National”) (see, for example, the U.S. Office of Foreign Assets Control restrictions on companies and their subsidiaries and related individuals that are named on the “Specially Designated Nationals” list). You are prohibited from registering for, signing up with, subscribing to, or using Chipps if you are located in a Sanctioned Country or are listed as, or associated with, a Sanctioned National or anyone set forth on the Specially Designated Nationals list, as determined by us in our sole discretion. Registration, signing up, or using Chipps from any Sanctioned Country is a material violation of this agreement and grounds for immediate termination of your licence by us, without the right to recover any of your data or fees which you have paid (or pre-paid) for Chipps.

Export controls. Chipps may be subject to the U.S. and European Union export and re-export control laws and regulations or similar laws applicable in other jurisdictions, including the Export Administration Regulations (“EAR”) maintained by the U.S. Department of Commerce. By accepting this agreement, you warrant that you are (a) not located in any country to which the European Union, the United Kingdom, the U.S., or other relevant jurisdiction has embargoed goods or has otherwise applied any economic sanctions which would forbid or limit the use, import, export, sale of, or payment for Chipps; and (b) not a denied party as specified in any applicable export or re-export laws or regulations or similar laws applicable in relevant jurisdictions, or otherwise listed on any list of prohibited or restricted parties as administered by the Office of Foreign Assets Control of the U.S. Department of the Treasury (“OFAC”), the U.S. Department of State, the United Nations Security Council, the European Union, His Majesty’s Treasury of the United Kingdom, or other relevant sanctions authority (“Sanctions Authorities”). You agree to comply with all applicable export and re-export control laws and regulations, including without limitation the EAR and trade and economic sanctions maintained by OFAC as they may be applicable to you. Specifically, you agree not to, directly or indirectly, use, sell, export, re-export, transfer, divert, release, or otherwise dispose of Chipps received under this agreement to any destination, entity, or person, or for any end-use prohibited by the applicable export control laws, trade and economic sanctions maintained by Sanctions Authorities, or any applicable laws or regulations, without obtaining any required prior authorization from the competent government authorities as required by those laws and regulations.

User Content and Actions

Chipps operates on files, settings, and data you give it access to. You are responsible for ensuring you have the right to grant Chipps that access. Chipps presents a plan and asks for approval before any change — actions you approve are your decisions.

Licence Keys

A licence key issued by Chipps is bound to a person or organisation and may not be shared publicly. We may invalidate keys that show signs of abuse or that were obtained fraudulently.

Updates

Chipps may deliver updates automatically. Updates may add, change, or remove features. Material changes will be announced on hellochipps.com.

Termination

You may stop using Chipps at any time by uninstalling it. We may suspend or terminate your licence for material breach of this agreement; in that case sections on Restrictions, Restrictions and Regional Limitations, Warranty Disclaimer, Limitation of Liability, Indemnification, and Governing Law survive termination.

Automatic Renewal

Paid Chipps plans are subscriptions for a fixed term. Unless you cancel before the end of the current term, your subscription renews automatically at the end of each term for another term of the same length, and the then-current renewal price is charged. You can cancel at any time as described in the Refunds and Cancellation section below.

Refunds and Cancellation

You may request a refund within 30 days of purchase by contacting support@hellochipps.com.

You can cancel your subscription at any time — either by emailing support@hellochipps.com or by using the cancellation link in the email that contains your licence key.

After cancellation, you keep access until the end of the period you’ve already paid for.

Warranty Disclaimer

Chipps is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or related to this agreement will not exceed the amount you paid for Chipps in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

Indemnification

You agree to defend, indemnify, and hold harmless Auslogics Labs Pty Ltd, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, losses, damages, costs, and expenses (including reasonable attorneys’ fees) resulting from your breach or violation of this agreement, your violation of any law or regulation or of the rights of any other party, or your alteration or export of Chipps. We reserve the right to assume, at our expense, the exclusive defence and control of any claim or action subject to indemnification, and you agree to fully cooperate with us upon our request.

Governing Law

This agreement is governed by the laws of New South Wales, Australia, excluding its conflict-of-laws rules. Courts of New South Wales, Australia have exclusive jurisdiction over disputes arising under this agreement.

Changes to this Agreement

We may update this agreement from time to time. The “Last updated” date at the top reflects the latest revision. Continued use of Chipps after a change means you accept the updated terms.
